The change of a legal entity’s name is provided for and regulated by the current legislation of Ukraine.

The name of a legal entity must necessarily contain certain information regarding its organizational and legal form. This may be, for example, a private enterprise, a production cooperative, a limited liability company, a charitable organization. When establishing a separate subdivision, the name must include the words “branch”, “representative office” and indicate the relationship, more precisely — the affiliation of that subdivision to a specific legal entity; when establishing an institution, its name must necessarily reflect the nature of the activity of such an institution.

Each legal entity may also have a shortened name; this is indicated in the registration card submitted to the state registrar. In addition, it may also include a name in a foreign language.

When creating a legal entity, sufficient attention should be paid to determining the name, as there are many pitfalls.

In accordance with the law, the change of a legal entity’s name occurs by submitting to the state registrar a completed registration card of Form No. 3. This card reflects the entry of various changes into the charter documents of legal entities. Such changes include: change of the legal entity’s location, change of information regarding the governing bodies of that legal entity, change of information about KVED, renaming of the legal entity, and change of the legal entity’s short name.

If the submission complies with the law, the state registrar accepts it, processes the documents and enters information that the change of the legal entity’s name has taken place. This information is entered into the register of legal entities within one working day.

Change of name of an organization and a foundation

The assignment of a name to a legal entity in non-profit organizations (upon their establishment) is carried out on general grounds.

However, changing the name of a charitable organization has certain specifics.

For the corresponding changes to be made in accordance with the law, it is not enough to simply submit registration card No. 3 to the state registrar. In addition to the completed registration card, documents confirming the legality of such actions must be submitted. These are:

  • a copy of the Minutes of the General Meeting confirming that at that meeting a decision was made to change the name;
  • a copy of the Participants’ registration protocol confirming the presence of a quorum;
  • two copies of the founding documents of the charitable organization.

By the way, changing the name of a legal entity of this type (a charitable organization) does not entail payment of an administrative fee, therefore when submitting documents to change the name, the state registrar has no right to require documents confirming such payment (a receipt).
