During its activities, a company may change its organizational form, change its location, replace the director, increase or decrease the amount of authorized capital. Any of the above actions are subject to state registration. Therefore, they are called – LLC re-registration.
The procedure for re-registering an LLC includes two main stages:
- At a meeting of the highest governing body, the issues on the agenda are resolved. For a positive outcome, the required number of participants must vote in favor. Such a decision is formalized by the Meeting Minutes.
- Then documents for the LLC re-registration are submitted to the Registration Service. The documents are accepted by the state registrar. The registrar also makes the changes.
An intermediate stage may be a visit to a notary to certify the new version of the charter. At the moment this is not mandatory, but it is highly recommended, since in the future the enterprise may need to submit a notarized copy of the charter to some authority or, for example, a banking institution.
To re-register an LLC in Ukraine (often the organizational and legal form is not translated from Ukrainian to Russian, so you may encounter “re-registration of TOV”), you need to pay an administrative fee that depends on the specific registration actions. Only after the state registrar has accepted the documents, made the corresponding changes and issued an extract do the changes acquire legal force.
