The company that created the branch grants it certain powers. We strongly recommend specifying in the founding document of the legal entity all the details of establishing the subdivision, carrying out its activities and its liquidation, and also indicating this in the Regulations.

A branch helps a company expand its activities without being territorially limited and is ideal for those who are developing rapidly. However, opening a subdivision requires considerable moral and material effort.

More and more companies are aiming to close branches every day. The reasons vary:

  • unprofitability due to an unfavorably chosen location;
  • high costs of further maintenance.

The liquidation of a branch takes a certain amount of time and requires efforts from the company that owns the separate subdivision. Moreover, the procedure for liquidating a branch involves not only making a decision within the company but also performing a number of sequential actions: updating information in the EGR, deregistration with the fiscal service, and so on.

The order of closing a branch follows a strict sequence:

  1. the highest body of the legal entity convenes a general meeting of participants (shareholders) at which the issue of liquidation is decided;
  2. preparing a package of documents for the state registrar, who enters the relevant information about the liquidation into the EGR database.

Please note that the law defines the general procedure, but in each specific case there are nuances; for example, closing a branch of an LLC differs from the same procedure in a joint-stock company.
