Registration of a charitable foundation in Ukraine

Legislation provides three organizational forms for creating a charitable organization: a society, an institution or a foundation. It should also be noted that forms such as local, all-Ukrainian, and international charitable foundations have been abolished; accordingly, the organization independently chooses the territorial scope of its activities.

Documents for registering a charitable foundation

Considering that a charitable organization has the status of a legal entity of private law, the documents that must be submitted for its state registration are provided for by Ukrainian legislation on the state registration of legal entities, namely:

  • registration card;
  • the relevant decision of the founders on the establishment of the organization;
  • founding documents in two copies: for a society and a foundation – the charter, for an institution – the founding act (stitched, numbered and signed by the founder(s));
  • a power of attorney for the representative, as well as their passport.

The founding documents must include the following information:

1) the full name of the organization;

2) the goals and areas in which charitable activities will be carried out;

3) the management body, its composition, powers, activities, as well as the procedure for its formation (election, appointment, change, termination of powers) and its approval of decisions;

4) the procedure for making amendments to the founding documents;

5) sources of income formation, control and reporting on the organization’s activities;

6) grounds and procedure for termination of activities, including the scheme for distribution of assets;

7) the procedure for changing the composition of participants, as well as their legal status (for the charter of a society and a foundation).

Procedure for registering a charitable organization

To carry out the registration of a charitable organization, it is necessary to submit the above package of documents to the registrar at the local administration at the location of such organization. The review of documents and entry in the Unified State Register (USR) are made on the day of submission.

The state registrar independently provides the statistics, revenue and collections authorities, and the Pension Fund of Ukraine with data for registering the organization.

After receiving a response from the specified authorities, the registrar issues the applicant an extract from the Unified State Register (USR).

Attention! Since 30.10.2014, the payment for registration of a legal entity has been abolished. In addition, further approval of amendments to the organization’s founding documents is also carried out free of charge.

You can also include your organization in the Register of Non-Profit Institutions and Organizations by submitting an application (form 1-RN) and copies of the founding documents to the local tax and revenue authority.
