Registration of amendments to the constituent documents is carried out in cases specified by law. Such cases include changes concerning the authorized capital (its decrease or increase); changes in information concerning the management bodies of the legal entity; renaming of the legal entity; changes to KVED types, etc.

Preparation for state registration depends on the changes made to the constituent documents.

For this, the legal entity at a meeting of its authorized body decides on making amendments to the charter, founding act, founding agreement, memorandum. If the decision is positive, it is necessary to immediately contact the authority where the registration file is held.

State registration of amendments takes place if the registrar is provided with a complete package of documents that includes the respective amendments.

Usually, each specific case requires individual preparation of the document package. For non-profit organizations and for legal entities that are business entities, the registration of amendments has significant differences. For example, non-profit legal entities are not required to pay an administrative fee. In addition, even for non-profit organizations, different lists of such documents are submitted to the state registrar (since their activities are regulated by different normative legal acts).

Therefore, this issue should be approached carefully so that the state registrar will have no grounds for refusal.

As a general rule, provision is made for the submission of documents or their sending by mail to the state registrar. For this it is necessary to submit:

  • registration card form No. 3;
  • the decision of the legal entity’s body to make amendments; additionally, a document confirming that such a decision is valid is submitted;
  • the constituent documents in force on the day of filing the amendments;
  • an attachment containing the amendments to the constituent documents (in two copies) or new versions of such documents;
  • a document confirming payment of the administrative fee.
