Registration of a Company with Additional Liability

ODO Registration Services

A company with additional liability is rare, so you need to approach all matters of its formation very carefully. An ODO may be founded by one or several persons. A distinctive feature of an ODO is the liability of participants in accordance with their contributions. However, if this is not sufficient, participants additionally (subsidiarily) are liable with their property in an amount that is the same multiple for all contributors. The amount of additional liability is specified in the charter.

The registration of an ODO must be carried out in accordance with all legal provisions applicable to business companies.

Who can create an ODO?

Founders of an ODO may be individuals, enterprises, institutions, and organizations.

How to create an ODO?

To create an ODO the founders must:

  1. Hold a general meeting of the founders (participants), where important issues are considered: determining types of activities, agreeing on the name, approving the charter, defining the scope of powers, the amount of liability, and similar matters. The meeting is considered duly held if the necessary number of participants voted for the respective issues. The meeting is documented by Minutes.
  2. Carry out state registration of the ODO. For this, a package of documents is submitted to the authorized body at the location (legal address) of the company. All documents are carefully reviewed by the registrar, who makes a subsequent decision to register the ODO or to refuse.

Documents that must be submitted to the state registrar:

  • completed registration card of form №1;
  • 2 copies of the charter – the registrar takes one (into the registration file), stamps and returns the other to you (it is preferable that the charters be notarized);
  • Minutes of the general meeting.

When submitting documents, you must have your passport with you, and if a representative of the company submits the documents – a power of attorney as well.

It is worth noting that documents can be submitted to the state registrar in three ways:

  • in person;
  • by mail;
  • as an electronic document.

In each case the document preparation has its own specifics. For example, if they are sent by mail, the law requires that each sheet of the registration card be notarized.
