JSC registration procedure

In essence, the registration of a joint-stock company practically repeats the procedure for registering a Limited Liability Company, and the distinguishing feature is only that the final stage in this case is the issuance and distribution of shares among the founders. According to Ukrainian legislation, the founder of a joint-stock company may be one person or more, both individuals and legal entities (residents and non-residents). Under Ukrainian tax legislation, the taxation system of joint-stock companies is similar to that of LLCs.

Cost of opening PJSC

Documents required for a joint-stock company

From citizens of Ukraine:

  • copies of passport pages with stamps of the founders and the director, as well as their identification numbers;
  • copies of certificates confirming the state registration of the founders as private entrepreneurs (if any);

From a resident legal entity:

  • documents that confirm the authority of the person to sign documents on behalf of the legal entity-founder (notarized power of attorney for a representative, order, protocol on the appointment of the director);
  • copy of the joint-stock company’s charter;
  • copy of the state registration certificate notarized;
  • decision of the highest body of the legal entity to act as the founder of the company being created;
  • copy of the extract from the EGRPOU (statistics);
  • original power of attorney from the head of the founding legal entity (applies only to legal entities).

From a non-resident individual:

  • copy of the certificate proving the assignment of an identification number in Ukraine;
  • copy of the passport (with Ukrainian visa, if any).

From a non-resident legal entity:

  • decision (protocol) of the supreme body of the legal entity indicating the decision to act as the founder of the company being created;
  • copy of the document that confirms the registration of the legal entity-founder in the country of its location, notarized (for example: extract from the court register, extract from trade or banking registers, certificate, etc.);
  • documents that confirm the authority of the person to sign documents on behalf of the legal entity-founder (notarized power of attorney for the representative or notarized copy of the charter, as well as the decision on the appointment of the director);
