Ministry of Justice Introduces a Change to the Extract
The new extract format contains the legal form of the entity and its name separately. Economic entities that have recently received extracts from the Unified Register of individuals and legal entities — entrepreneurs — note that documents issued by the state registrar still differed in 2012.
The new extract format contains the legal form of the entity and its name separately.
Economic entities that have recently received extracts from the Unified Register of individuals and legal entities — entrepreneurs — note that documents issued by the state registrar as recently as 2012 contained evidence of timely confirmation of the enterprise’s information, i.e., they provided Form No. 6 annually. At the same time, such information was not included in the extracts issued by the state registrar starting from March 2013.
In that case the document does not fulfill its direct purpose, since it cannot attest to the enterprise’s location. This is illustrated by situations when an enterprise may obtain an extract to appeal an unlawful cancellation of VAT payer registration, in the event that the enterprise is absent at the specified location.
In the event of any disputes, such a document is accepted by all government bodies and courts without any remarks or contradictions. In some cases it can also be supplemented by a statement.
Thanks to the changes being introduced, the extract will contain more detailed and complete information. Also, the extract will include data regarding presence in the USR:
- Entries regarding the absence of the legal entity at its registered location;
- Entries regarding the absence of confirmation of information about the legal entity;
- Entries confirming the data about the legal entity.
It is possible that, due to the changes concerning the separation of the entity’s name and its legal form, the request to obtain an extract will also change, since in it the legal form is not separated from the name.
This should be noted first of all by those business entities that have rather complex names. According to Order No. 2305/5 of the Ministry of Justice dated 04.11.2013 complex abbreviations in a company’s name will be considered part of the company’s name, and therefore it is important not to confuse them with the abbreviation of the company’s legal form.
