The law provides that a person may be a founder or participant in only one general partnership, and the person must engage in entrepreneurial activity.
The procedure for creating a partnership includes three main stages:
- First, the founders need to decide on the purpose of establishment, location, number of participants, name, and the amount of contributed capital.
- Signing the founding agreement, which must contain the following information:
- the purpose of activity;
- the procedure for forming capital;
- powers of governing bodies;
- distribution of all profits and losses among participants;
- size, composition, and procedure for making all contributions;
- other issues concerning the activities of the legal entity.
- State registration involves preparing documents, their execution, and submission to the justice authorities. Documents that must be submitted:
- registration card form No.1, which also includes information about the ownership structure and beneficiaries;
- founding agreement in two copies (preferably notarized);
- founders’ decision to create – Minutes of the meeting.
If all documents are submitted in full, properly executed, and the authorized person has no comments, state registration of the partnership is carried out. The fact of registration is confirmed by the issuance of an extract from the Unified State Register.
