A license agreement is an agreement according to which the holder of the certificate for a mark for goods and services (the trademark owner) or the licensor (according to the legal definition) may grant an interested party or the licensee (according to the legal definition) the right to use the trademark in exchange for remuneration and under previously agreed conditions. In short, a license allows you to acquire the right to use a trademark under specified conditions for a set period.
Legally, such relations are possible only after mandatory state registration of the trademark (obtaining the certificate). The procedure provided by law envisages that the trademark must first undergo state registration, and only thereafter may a licensing agreement be concluded. These rules are stipulated by Chapter 75 of the Civil Code. The Code also states that a licensing agreement for a trademark or patent is not subject to mandatory state registration. Nevertheless, the parties may register the license agreement based on mutual arrangements.
Advantages of a license agreement for the rights holder (licensor):
- in any case, the licensor remains the owner of the trademark;
- the licensor can limit the rights granted to the trademark by scope, territory, and duration;
- the licensor retains the rights to use the trademark alongside the licensees;
- the licensor has the right to issue an unlimited number of licenses for the trademark;
- the licensor has the right to choose the most suitable method of payment for granting the license (as lump-sum payments, royalties, or a combination thereof).

- savings of one’s own funds and time required to bring one’s own trademark to market;
- gaining the lion’s share of customers thanks to the existing brand image;
- possibility to grant sublicenses (possible in case of obtaining an exclusive license).
