Registration of a private entrepreneur in Ukraine is a strictly regulated procedure that, however, has often been subject to changes recently. The Constitution of Ukraine provides for the freedom of entrepreneurial activity, and more and more active and business-minded people come to the conclusion that opening a private enterprise is the most optimal and profitable way to earn a living.

Registration of entrepreneurial activity is the first, extremely important and mandatory stage in creating your own business. You should not jeopardize either your business reputation (making mistakes and ill-considered actions will not add to your rating and success) or the ability to conduct economic activity in general. In addition, it is important to understand that state registration of an entrepreneur is not the only necessary procedure. Your future activity may require obtaining certain permits and licenses.
If we speak in legislative terms, we are talking about ФЛП (ФОП) – an individual entrepreneur and ЧП (ПП) – a private enterprise. But in everyday use these definitions are often confused and substituted for one another. Therefore, those who wish to register a ЧП should first of all understand that under this established abbreviation there may actually be two different forms of doing business:
- Private enterprise (ЧП, СПД);
- Private entrepreneur, an individual – entrepreneur (ФЛП (ФОП), ЧП, СПД).
Legal status
A private enterprise is a legal entity, accordingly, to open a private enterprise and operate in this form, it is necessary to comply with all the norms that apply to legal entities.
An individual entrepreneur (ФЛП) is not a legal entity, but his activity is also subject to mandatory state registration under a separate procedure. At the same time, norms that regulate the activities of legal entities may be applied to an individual entrepreneur, if this does not contradict specific provisions of the law in particular situations and the nature of the relationships themselves.
Number of persons
A private enterprise may consist of one or several individuals, as well as one legal entity (ч. 1 ст. 113 ХКУ). An individual entrepreneur (ФЛП) is exclusively one person.
Name
A private enterprise, like any legal entity, must have a name that includes the organizational and legal form (for example, Private Enterprise “Romashka”). An individual entrepreneur cannot arbitrarily choose a name; his name is his own full name.
Location
A private enterprise must have a registered address in the Unified State Register. For this, you can either rent office premises or lease a legal address with postal service (that is, the address registered in the register and the actual place of activity will differ). The address entered in the register for an individual entrepreneur will be his registered place of residence.
The state registration procedure includes the standard stages
- Preparation of documents: for a private enterprise – charter, decision to create the private enterprise and a registration card; for an individual entrepreneur – only a registration card, also you need to provide your passport and identification code.
- Application to the state registrar.
- Registration with the tax authority.
- Making a seal (optional).
- Opening bank accounts.
The article lists the minimum set of documents and procedures. In each particular situation, depending on the specific activity, the desired form of taxation and other nuances, the list of documents and actions may differ. Registering a private enterprise in Kyiv is a rather troublesome procedure (considering the long queues to state registrars and constant changes in legislation), and it also requires maximum attention and concentration (registrars carefully check all documents).

- visiting all necessary state bodies and other institutions;
