A limited liability company is one of the types of organizational and legal forms of a legal entity, which implies dividing the company’s charter capital into shares (participants’ contributions), the size of which is determined by the founders’ decision to establish the LLC. Currently in Ukraine a limited liability company is the most common form of legal entity. And this is natural.

Let’s consider the main features of creating and operating a limited liability company that make an LLC an advantageous organizational and legal form:
- participants have the right to form the charter capital with either cash or property;
- participants are liable for the company’s activities only up to their contributions; creditors cannot claim the participants’ personal property;
- founders of an LLC can be both individuals and legal entities, including non-residents of Ukraine;
- the formation of the company’s charter capital must be completed within 6 months after LLC registration, unless otherwise provided by the charter.

Documents required for state registration of an LLC:

- two originals of the charter (subject to notarization);
- application for registration of the prescribed form;
- copy of the passport and identification code of the applicant (of all LLC founders or of the authorized person by powers of attorney from all founders);;
- notarized copies of the passports of all beneficial owners (in case the passport is a booklet);
- copies of the passports and the certificate of registration of residence of all beneficial owners (in case the passport is an ID card);
- notarized translations of the passports of all beneficial owners (if these persons are non-residents of Ukraine).
